Notification No. S.O. 4849(E); Dated: 23.10.2025
1. Background
The Ministry of Corporate Affairs (MCA) has announced the establishment of new Registrars of Companies (RoCs) and defined their territorial jurisdictions for administering matters related to Limited Liability Partnerships (LLPs) under the Limited Liability Partnership Act, 2008.
This reorganisation is part of the Government’s ongoing efforts to decentralise administration, enhance regional efficiency, and strengthen compliance oversight for LLPs across India.
2. Key Highlights of the Reorganisation
Under the revised framework, the MCA has expanded and reorganised its Registrar network to ensure balanced workload distribution and improved accessibility for LLPs operating in different regions.
The new setup includes:
Two Registrar offices each in:
- Delhi,
- Uttar Pradesh,
- Mumbai, and
- Kolkata
One Registrar office each in:
- Haryana, and
- Nagpur
Each of these offices will have clearly defined territorial jurisdictions, covering specific districts or regions within their respective States or Union Territories.
3. Objectives of the Restructuring
The restructuring aims to:
- Streamline LLP registration and compliance processes,
- Enhance administrative efficiency by reducing the workload on existing RoCs,
- Facilitate faster resolution of filings, approvals, and adjudications, and
- Ensure greater regional representation in LLP governance and oversight.
4. Effective Date
The newly structured framework for the Registrars of Companies overseeing LLPs will come into effect from 1 January 2026.
From this date, all LLP-related filings, registrations, and compliance actions will be administered as per the revised jurisdictional boundaries.
5. Expected Impact
This reform is expected to:
- Improve ease of doing business for LLPs by providing region-specific administrative touchpoints,
- Reduce turnaround times for LLP filings and rectifications,
- Strengthen regulatory supervision through decentralised oversight, and
- Ensure uniform implementation of the LLP Act across all regions.
6. Conclusion
The establishment of new Registrar of Companies offices for LLPs marks a significant step in modernising India’s corporate regulatory framework.
Effective 1 January 2026, this decentralised structure will enhance efficiency, transparency, and regional balance in the administration of Limited Liability Partnerships nationwide.
